End User License Agreement

This End User License Agreement (“Agreement”) governs use of InvoiceImport (“the Software”), provided by Solanko Consulting, Inc., a Delaware corporation.

1. Scope

The Software is a private, internal tool. It is used solely by Solanko Consulting, Inc. to prepare and record its own invoices in its own QuickBooks Online company. It is not sold, licensed, distributed, or made available to any third party, and it is not offered to the public.

2. Licence

Solanko grants itself and its authorised personnel a non-transferable right to use the Software for the internal business purpose described above. No other licence is granted to any person.

3. Permitted use

The Software connects to the QuickBooks Online API using credentials belonging to Solanko Consulting, Inc. It reads customer and product/service records in order to resolve references, and creates or updates invoice records. It performs no other operation, and it does not transmit any invoice or send any communication on a user’s behalf.

4. Restrictions

The Software may not be redistributed, sublicensed, sold, or used to access any QuickBooks Online company other than the one belonging to Solanko Consulting, Inc.

5. No warranty

The Software is provided “as is”, without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of liability

To the maximum extent permitted by law, Solanko shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use of the Software.

7. Term

This Agreement applies for as long as the Software is in use. Use ceases upon disconnection of the application from the QuickBooks Online company.

8. Governing law

This Agreement is governed by the laws of the State of Delaware, United States.
